Although the capital was agreed at 80,0002. in shares and 20,0002. in debentures, the total subscription was only 15,0002. in shares and 3,1002. in debentures. The British Empire Corporation were to pay the expenses up to allotment, and then take 10 per cent, upon the subscriptions. Cheques for 6.0002. and 4,0002. respectively were handed over by the Middlewich Company, made payable to Thomas Russell, and as that time the Corporation had no banking account, witness passed them through his private account, paid the promotion expenses, and handed over the balance to the Corporation. He took no steps to ascertain the result of the borrowings, but relied upon the report of the expert and the statements of Mr. Clarke. Mr. E. L. Clarke stated, in reply to Mr. Stewart, that he lived near Northwich, and had known the Middlewich property all his life. It originally belonged to bis wife's uncle, and witness bought it in March, 1889, for 4,7502. Finding that it contained brine, he approached the British Empire Corporation, who were about to form a salt union, and they agreed to purchase the property in conjunction with the adjoining estates. Several hundred pounds were expended on the boring experiments, a shaft being sunk and a steam-pump fixed for the purpose. The witness was closely examined as to his knowledge of Mr. Thomas Russell, bat admitted that, although he signed the contract with that gentleman, he was nnable to give any particulars respecting him. At the final settlement he agreed to take 12,0002. in lien of the 20.0002. agreed upon for the purchase of the land, and accepted 5,0002. in cash, 5,0002. in shares, and 2,0002. in debentures.
